1. New Clients
New clients will be required to pay 25% of the estimated cost in advance of work proceeding.
2. Payment
All invoices are payable within thirty (30) days of receipt. An 8% monthly service charge is payable on all overdue payments. Rogue Robot retains all rights to all intermediate deliverables submitted at each milestone. The grant of any license or right of copyright to the Client is conditioned on receipt of full payment by the Client of the total amount as stated on the final invoice.
3. Default in Payment
The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.
4. Billable Expenses
The Client shall reimburse Rogue Robot for all direct and indirect billable expenses arising from this assignment, regardless of whether the assignment is Cancelled. Billable Expenses include but are not limited to costs of commissioning images or subcontracting talent, any travel, research, postage and delivery, photocopying, and storage media expenses.
5. Supply of Assets
Rogue Robot shall designate Chris Johnson-Standley and the Client shall designate
as the only designated persons who will send and accept all deliverables and receive and make all communications between Rogue Robot and the Client. Neither party shall have any obligation to consider for approval or respond to materials submitted other than through the designated persons listed above. Each party has the right to change its designated person upon 7 calendar days notice to the other.
All assets must be provided before production begins. Delay in providing assets may delay delivery / deadline dates.
6. Weekend Working
Work requested to be produced over a weekend or Bank Holiday will be charged at £50 / hour.
7. Delivery
Final production will be delivered on or before the agreed Delivery Date in the Production Schedule.
Client will be provided with one master copy of the finished production on the requested format. Further copies will be charged at the rate of £20 plus stock costs.
8. Amends Procedures
Drafts wil be provided by Rogue Robot as appropriate video files via email or file sending service. Drafts will be watermarked and remain the property of Rogue Robot until final invoice payment.
The Client will provide any amends to the First and Second Drafts of work in writing and by the due date as stated in the Production Schedule.
9. Client’s Alterations
There shall be no charges to the Client for revisions or corrections or additions made necessary by errors on the part of Rogue Robot. Any other changes requested by the Client shall be considered Client’s Alterations if they are requested after the delivery of the Final Draft. In this event, the Client shall be responsible for making additional payments at the rate of £50 per hour for any Client’s Alterations and any other changes in original assignment requested by the Client. However, no additional payment shall be made for changes required to conform to the original assignment description.
10. Cancellation
In the event of Cancellation of this assignment by the Client, any advance payments made prior to cancellation shall be retained by Rogue Robot. In addition, if cancellation is prior to the delivery of the First Draft, a cancellation fee of fifteen percent (15%) of the agreed Estimate shall be paid by the Client. If the cancellation is later but prior to the delivery of the Second Draft, a fee of thirty percent (30%) of the agreed Estimate shall be paid by the Client. If the cancellation is later but prior to the delivery of the Final Draft, the cancellation fee shall be fifty percent (50%) of the agreed Estimate. If the cancellation is after the delivery of the Final Draft, the cancellation fee shall be one hundred percent (100%) of the balance of all remaining dues. Regardless of when the project is cancelled, all billable expenses already incurred by Rogue Robot or that Rogue Robot is liable to pay for shall be paid by the Client in full. In the event of cancellation, Rogue Robot retains ownership of all copyrights and any original artwork.
11. Promotional Use of Material
With the agreement of the Client, Rogue Robot may use any or all of the final production for promotional purposes on Rogue Robot associated websites or printed media.
12. Acceptance of Terms
The Client's agreement by email of the Production Agreement and T&Cs shall evidence acceptance of these terms.
